This is an Asian-American Owned National Bank, with full FDIC insurance coverage, located in Houston, Texas with three branches located in Richardson, Missouri City, and Houston Texas. The bank was formed by 6 organizers in August 1997 and opened for business on May 18, 1998. The main facility is located at 9999 Bellaire Blvd., near the southeast corner of the intersection of Beltway 8 and Bellaire Blvd in Houston. This site was chosen because of its proximity to the highly concentrated Asian-American community located along the Bellaire Blvd. Corridor. The current facility is considered a temporary house for the bank and our plans include the construction of a multi-story building in 2005 to meet the bank's growth needs. The Richardson branch is located in Richardson, Texas in Colin County. It is located on Campbell Road near the North Central Expressway. The First Colony branch is located in Missouri City, Texas near the intersection of Highway 6 and Dulles Street. The Harwin Branch located at Harwin Drive between Hillcroft and Fondren. |

The management of American First National Bank consists of 10 members of the Board of Directors, Henry Wu as the Chairman of the Board, Bruce Chang as the President and CEO. Mr. Wu has been a Chairman of the Board previously for several years at Texas First National Bank and Mr. Chang has been an executive officer at prior banking facilities with over 20 year of banking experience. The other members for the Board are Mr. Cheng Yuan Kao, Vice Chairman, Mr. Andy Chien, Mr. Jeff Jow, Mr. Hashim Lakhany, Mr. Ronnie Miller, Mr. Steven Sun, Mr. George Tseng, and Mrs. Chong-Huey Wang. The Board of Directors is actively involved in the overall management of the bank by ensuring that adequate internal controls and compliance with all applicable laws and regulations are met. The Chairman and President & CEO have the responsibility for the management of all aspects of the company activities to ensure maximum profits commensurate with the best interest of customers, shareholders, employees and the public. Reporting to Mr. Chang is the Chief Lending Officer, David Wang; Manager of Funds Management, Dawning Ho; the Cashier, Mike Fann; the Operation Manager, Jeannie Lam; the Marketing Officer, Hainy Hsu. Mr. Wang has more than 27 years banking experience as a lending officer, Ms. Lam has more than 18 years experience in banking operation. Ms. Hsu has more than 20 years experience in operation and marketing area. Mr. Fann is a CPA and has been the Cashier at a prior national bank with over 15 years of experience in the banking field. |

The staff of American First National Bank is primarily Asian American and is able to offer to the community the ability to speak many different languages. Other bank services are 1. Demand deposit services including checking accounts, money market accounts, and NOW accounts. 2. Time and saving deposit services including regular savings, money market savings, certificates of deposit and IRA's. 3. Loans for businesses and consumers, including working capital, commercial construction, real estate, home improvement, automobiles, personal use, among others. 4. Trade financing including letters of credit, international wire, collection, and bill discounts. 5. Other services including safe deposit box, domestic wiring, cashier checks, money order, ATM, and Notary. We have an experienced International Banking Department to provide the necessary international banking services. We also have correspondent relationships with most of the major banks in the world in order to facilitate the international transactions. Our involvement in the community is extensive and we have an active Officer Call program. We provide speakers, when called upon to do so; to address local school, business and civic organizations regarding the services offered by American First. |

The capital structure of the bank was solid at $17,831,000. The bank had maintained an operating profit every year since it's inception.
